Scott-G-Media LLC Licensing Agreement


Scott-G-Media LLC is the entity providing the purchased services and Digital Assets as selected on this order form by the Purchaser.

Digital Assets are photographs, graphics, designs, programming code and digital images created or taken by Scott-G-Media LLC and delivered to the Purchaser.

Purchaser is the real estate agent or broker or organization who requires the services of Digital Assets as selected on this order form. All references to the Purchaser in this Agreement shall include the Purchasers parent companies, affiliates, and subsidiaries.

Order Form is the internet web page utilized by Scott-G-Media LLC for Purchasers to place orders for services and Digital Assets.

Property refers to the property located at the address entered into the Order Form at the time of purchase.


Scope of this Agreement.

This Agreement is made between Scott-G-Media LLC and the Purchaser concerning the Property at the precise moment the �???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??Place Order�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢?�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?� button has been activated on the Order.

This Agreement governs the relationship between the parties and in no event shall any e-mail communication or other exchange, amend or otherwise modify the terms of this Agreement unless agreed to in writing.

Rights:
All Digital Assets and rights relating to them, including copyright and ownership rights in the media in which the Digital Assets are stored, remain the sole and exclusive property of Scott-G-Media LLC.

This license provides the Purchaser with the limited right to reproduce, publicly display, and distribute the Digital Assets only for promotional or advertising purposes directly related to the one-time sale of the Property. Digital Assets used for any purpose not directly related to the sale of the Property must be with the express permission of Scott-G-Media LLC and the payment of additional fees, unless otherwise agreed to in writing.

Digital Assets may be uploaded to any MLS listing service solely for promotion of the Property during the pendency of this Agreement. However, regardless of any terms and conditions of the MLS, at no time does this Agreement provide Purchaser with the right to transfer copyright, or any other exclusive rights as provided by the Copyright Act 17 U.S.C �???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�§ 106.

Digital Assets may contain copyright management information (CMI) at the discretion of Scott-G-Media LLC in the form of either

1. a watermark, copyright notice �????????????????????????????�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�© and/or

2. other copyright and ownership information embedded in the metadata or elsewhere.

Unless otherwise agreed to by the Parties, removing and/or altering such information is prohibited and constitutes violation of the Digital Millennium Copyright Act (DMCA) and Purchaser will be responsible to Scott-G-Media LLC for any penalties and awards available under the statute. Purchaser is responsible for ensuring that the Digital Assets are removed from MLS databases at the expiration of this Agreement.

Rights are assigned to the Purchaser immediately upon delivery of the Digital Assets.

Unless otherwise specifically provided elsewhere in this document or other signed agreement between the parties, any grant of rights is limited to a term whichever occurs first of either

1. one (1) year from the date of this Agreement, or

2. at the termination of Purchaser�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s representation of the Property.

Further use of images beyond one (1) year requires Scott-G-Media LLC�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s permission and payment of additional fees.

Relationship of the Parties:
The parties agree that Scott-G-Media LLC is an independent contractor, and that neither Scott-G-Media LLC, nor Scott-G-Media LLC�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s employees or contract personnel are, or shall be deemed to be, employees of Purchaser. No agency, partnership, joint venture, or employee-employer relationship is intended or created by this Agreement. Neither party is authorized to act as agent or bind the other party except as expressly stated in this Agreement. Scott-G-Media LLC and the Digital Assets or any other deliverables prepared by Scott-G-Media LLC shall not be deemed a work for hire as defined under Copyright Law. All rights granted to Purchaser are contractual in nature and are expressly defined by this Agreement.

Creation:
The manner and method of creating any Digital Assets is solely at the discretion of Scott-G-Media LLC and the Purchaser has no right to control Scott-G-Media LLC�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s manner and method of performance under this Agreement. Scott-G-Media LLC will use his/her best efforts to

1. ensure that the Digital Assets conform to Purchaser�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s specifications; and

2. submit all Digital Assets to Purchaser in publishable quality, on or before the applicable deadlines.

Delivery:
Scott-G-Media LLC may select delivery of Digital Assets in JPEG, TIFF, PNG, MP4 or other standard format, at a resolution that Scott-G-Media LLC determines will be suitable for the Digital Assets as licensed. It is the Purchaser's responsibility to verify that the Digital Assets are suitable for reproduction and that if the Digital Assets are not deemed suitable, to notify Scott-G-Media LLC with five (5) business days. Scott-G-Media LLC�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s sole obligation will be to replace the Digital Assets at a suitable resolution but in no event will Scott-G-Media LLC be liable for poor reproduction quality, delays, or consequential damages.

Unless otherwise specifically provided, Scott-G-Media LLC is not responsible to provide images

1. larger than 8�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢?�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�x10�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢?�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?� at 300 dpi or

2. in a format higher than 8-bit or in RAW format.
Scott-G-Media LLC has no obligation to retain or archive any Digital Assets delivered to Purchaser.

Fees:
All fees and expenses payable under this agreement are required at the moment of purchase or delivery. No extended time will be given for payment and all fees are payable irrespective of whether Purchaser makes actual use of the Digital Assets.

All rights are revoked at Scott-G-Media LLC�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢??s discretion if the Purchaser does not provide payment as stated. In the event rights are revoked, all Digital Assets in the possession of Purchaser must be removed from all forms of media and permanently destroyed within ten (10) days. Purchaser shall provide Scott-G-Media LLC with a written statement that all images have been removed and destroyed.

Cancellation:
Purchaser may cancel this Agreement prior to the agreed start date if the cancelation is submitted in writing 48 hours prior to the agreed start date and time. Any fees paid by the Purchaser for this canceled Agreement will be held by Scott-G-Media LLC and applied as a credit toward future Purchase Agreements.

If the purchaser wishes to cancel this agreement without providing a 48-hour prior written notice, Scott-G-media LLC at its sole discretion may charge a 25% surcharge for costs incurred.

In the event the purchaser is no longer in business said refund will no longer be refundable.

Exclusivity:
This Agreement does not create an exclusive relationship between the parties. Purchaser is free to engage others to perform services of the same or similar nature to those provided by Scott-G-Media LLC, and Scott-G-Media LLC shall be entitled to offer and provide design services to others, solicit other Purchasers and otherwise advertise the services offered by Scott-G-Media LLC.

Transfer and Assignment:
Purchaser may not assign or transfer this agreement or any rights granted under it. No amendment or waiver of any terms is binding unless in writing and signed by the parties.

Indemnification:
Purchaser will indemnify and defend Scott-G-Media LLC against all claims, liability, damages, costs, and expenses, including reasonable legal fees and expenses arising out of the creation or any use of the Digital Assets or materials provided by Scott-G-Media LLC to the Purchaser. It is the Purchaser's responsibility to obtain the necessary model or property releases and ensure they are in full effect and in force. Such releases may include

1. The property owners release for the Digital Assets to be available for viewing online to the general public and other digital or printed formats.

2. A release for Digital Assets that may display items of a personal or sensitive nature and or high value.

3. Actors release for each individual who is clearly viewable in any of the Digital Assets.



General Law/Arbitration:
This Agreement sets forth the entire understanding and agreement of the parties and supersedes any and all prior agreements between the parties. This Agreement shall be governed and interpreted and enforced in accordance with the laws of the State of Arizona and any claim or litigation arising out of this Agreement or its performance may be maintained only in courts physically located in the State of Arizona and the parties hereby consent to the personal jurisdiction of such courts. In the event of any litigation arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its attorneys�???????????????????????????�??????????????????????????�?????????????????????????�????????????????????????�???????????????????????�??????????????????????�?????????????????????�????????????????????�???????????????????�??????????????????�?????????????????�????????????????�???????????????�??????????????�?????????????�????????????�???????????�??????????�?????????�????????�???????�??????�?????�????�???�??�?�¢?? fees incurred in the litigation. If parties are unable to resolve the dispute by negotiation, either party may start mediation and/or binding arbitration in a forum mutually agreed to by the parties.

Severability:
If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.

Waiver:
No action of either party, other than express written waiver, may be construed to waive any provision of this Agreement and a single or partial exercise by either party of any such rights or remedies will not preclude further exercise of other rights or remedy.
